ALABAMA ASSOCIATED PRESS BROADCASTERS ASSOCIATION BYLAWS

ARTICLE I AUTHORITY
These are the properly adopted bylaws of the Alabama Associated Press Broadcasters Association (AAPBA). They will serve as the rules and regulations for the governing of the association.
ARTICLE II PURPOSE
The organization will be named the Alabama Associated Press Broadcasters Association. It will be not for profit. Its purpose will be to further the excellence of broadcast journalism by promoting the improvement of its members and the maintaining of a free and independent press. It will do this by facilitating cooperation between both members and The Associated Press, sponsoring an annual broadcast news competition and exchanges of information.
ARTICLE III MEMBERSHIP
Membership is limited to broadcast organizations that are Associated Press members in Alabama. Each member organization will have one vote in all association affairs.
ARTICLE IV MEETINGS
The association's Board of Directors will try to meet at least once each calendar year, with additional meetings, communication and votes permissible by e-mail and conference call.
ARTICLE V BOARD OF DIRECTORS
Section 1. Association affairs will be managed by a Board of Directors. The board will be made up of a president and a flexible number of directors, plus two ex-officio members -- the Alabama Associated Press broadcast editor and the state AP supervisor. Any full-time employee of an AP member radio or TV station in Alabama who works primarily in news may serve on the board, which will be formed each year at the board's meeting in the spring around the time of the contest award announcements. The president and new members are added by vote of the board. A board term will be for one year. Board members may succeed themselves.
Section 2. The board will attempt to have representation from the south, central and north portions of the state, if at all possible, and members from radio as well as television.
Section 3. A majority of the board will constitute a quorum and a quorum will be necessary for the board to act. Board action will be made by a majority vote. In the event of a tie, the president shall cast the deciding vote.
Section 4. A board member unable to take part in a board meeting may tender a proxy to be voted on his or her behalf by another member of the board at that meeting.
ARTICLE VI AMENDMENTS
These bylaws may be amended by the Board of Directors by majority vote.
