Constitution

 

1. Representatives of all New England newspapers having membership in The Associated Press hereby organize themselves as "The New England Associated Press News Executives Association."

The purpose of this organization shall be to stimulate the cooperative efforts of these newspapers toward creation of the best possible Associated Press service in the six New England states, and such other general activities as shall help member papers improve service to their readers.

2. Every New England Associated Press newspaper member, morning or afternoon, automatically holds membership in this association and may designate what representative or representatives it wishes to attend meetings and participate in association affairs.

A Sunday publication is considered an edition of a morning or afternoon newspaper. Newspapers of distinct character published by a common ownership shall be considered separate members; any questions in this regard shall be determined by a majority of the Executive Committee.

3. Associate membership in this association may be held by designated representatives of education institutions or other organizations publishing non-commercial newspapers subscribing to Associated Press service; such associate members to have all the rights, privileges and obligations of the association except that they may not vote or hold office.

The association, at the discretion of the membership may designate as honorary members individuals who have been active in association affairs, but have retired from their newspaper careers, such honorary members to provide advice and special services at the request of the president and Executive Committee, and to have all the rights, privileges and obligations of the association except that they may not vote or hold office.

4. Each member newspaper shall have one vote on all business matters coming before this association. It is recognized by this association that a wide attendance and participation on the part of newspaper member editorial personnel is desirable and should be strongly encouraged. Therefore, no restriction is intended on the number of representatives of any one newspaper may send to a meeting.

5. The officers of this association shall consist of a president, a first vice president, a second vice president and a secretary-treasurer (third vice president) elected by the membership. The offices of president and vice presidents shall be rotated among the states represented in this association.

6. There shall be an Executive Committee consisting of the four immediate past presidents, the chairman of each standing committee, all ex-officio members of the Executive Committee as designated by the president; and the president, two vice presidents and secretary-treasurer. The three New England AP bureau chiefs shall be ex-officio members of the Executive Committee.

7. The Executive Committee shall advise the president and shall have authority to make any decisions on matters of association policy required between the full regional membership gatherings in the spring and fall, subject to later approval by the membership. The Executive Committee shall act as nominating committee for the annual election of officers. The Executive Committee also shall select the annual meeting dates and meeting places of the association.

8. The annual dues of this association shall be assessed in three circulation categories as follows: 29,999 and under, $50 ($100); 30,000 to 59,999, $75 ($150); and 60,000 and over, $100 ($200). The statement of circulation in the current Editor & Publisher annual yearbook shall determine the circulation class of each member each year.

9. The Executive Committee may decide when a special assessment is required to supplement the Contest Fund, and will determine the amount thereof.

Funds of the association are to be kept in a bank account under the jurisdiction of the secretary-treasurer (AP bureau chief in Boston), who shall make such regular reports and audits as are required by the Executive Committee or membership, including a full written financial statement at each fall meeting.

A. The parliamentary authority of this association shall be "Roberts’ Rules of Order Revised."

B. These bylaws may be amended by a two-thirds majority vote of the membership present in formal meeting after previous notice of at least two weeks to all members.

C. A quorum of this association shall consist of at least 10 members.

D. The Executive Committee of this association is empowered to act as the voice of the membership in all of its functions.

E. Election of officers shall be conducted by ballot or voice vote, whichever the presiding officer deems more suitable.

The CSC shall interest itself in all phases of newspaper operation, with emphasis on the Associated Press report. All members are expected to cooperate in assembling information requested by the committee.

F. A Contest Committee shall conduct annual contests among members of the association. The president shall select a contest committee and contest committee chairman. Membership on the committee is limited to representatives from newspapers that have paid current NEAPNEA dues.

Ex-officio members of the Contest Committee shall be the three New England AP bureau chiefs.

The Contest Committee shall have complete and final power to discard any contest entries that fail to conform to the rules set by the Contest Committee and approved by the Executive Committee.

G. There shall be a Public Service Awards Committee, the chairman to be designated by the president. Each state shall have a representative on the committee.

The awards recognizing public service by member newspapers shall be in two classes:

The Sevellon Brown Award for newspapers of 40,000 and more circulation.

The Thomas K. Brindley Award for newspapers of 39,999 and under circulation.

The Public Service Awards Committee will develop rules for the public service competition, subject to the approval of the Executive Committee, and will conduct annual contests among the membership.

H. There shall be a Scholarship Committee for the George Esper Reporting and the Photojournalism/Design Scholarships presented at the annual spring meeting.

J. Other committees may be appointed by the president, subject to approval of the Executive Committee.
